Terms of Sale

(Direct Sales by ENVO or its Owned Channels including but not limited to envodrive.com, ebikebc.com, moonbikes.com, veemo.ca)

1. Scope

- These Terms of Sale govern purchases of products and services from ENVO directly (online or through ENVO‑operated locations). If you purchase from an independent authorized dealer, your contract is with that dealer and their terms also apply to the sale; ENVO’s Limited Warranty still applies to eligible products.

2. Order process and acceptance

- Your order is an offer to buy. We may accept or reject your order at our discretion (e.g., for availability, errors, suspected fraud).

- We will confirm acceptance by sending an order confirmation or by shipping the product.

- Pre‑orders and deposits: Estimated delivery dates are not guaranteed. Deposits are refundable until we accept the order or commence fulfillment, subject to any specific pre‑order terms.

3. Pricing, taxes, and promotions

- Prices are shown in the currency indicated and exclude taxes, duties, and fees unless stated. You are responsible for applicable taxes and import duties.

- We may change prices without notice before order acceptance. We are not responsible for typographical or pricing errors and may cancel orders arising from such errors.

- Promotions and discount codes are subject to their terms and may not be combined unless stated.

4. Payment

- We accept the payment methods displayed at checkout. By providing a payment method, you represent you are authorized to use it and authorize us or our payment processor to charge the full amount (including taxes, shipping, and fees).

- Financing is offered by third‑party providers subject to their terms. ENVO is not a party to financing agreements.

5. Shipping, delivery, and risk of loss

- We ship to the locations listed at checkout. Lithium battery shipments are subject to hazardous materials regulations and may have special delivery restrictions or fees.

- Title transfers upon our receipt of full payment and delivery to you or your carrier, as applicable. Risk of loss passes to you upon delivery to the shipping address or carrier, depending on the shipping term shown at checkout.

- Delivery estimates are not guaranteed. We may make partial shipments.

6. Inspection on delivery; DOA

- Inspect all items upon delivery. Report shipping damage or Dead on Arrival (DOA) issues to ENVO and the carrier within 7 days of delivery, with photos and the serial number. Keep packaging for inspection.

7. Returns and cancellations

- Unless otherwise stated:

- Return period: 14 days from delivery for most items purchased directly from ENVO, in new, unused condition with original packaging. Restocking fees may apply.

- You must obtain an RMA before returning any item.

- Return shipping and risk of loss are your responsibility unless the return is due to ENVO’s error.

 

8. Installation, assembly, and legal compliance

- We recommend professional assembly and pre‑delivery inspection by an authorized ENVO dealer. Improper assembly may void warranty and create safety risks.

- You are responsible for compliance with local laws, including helmet use, lighting, e‑bike classifications, speed/power limits, age restrictions, riders conditions, and where products may be ridden.

- By using ENVO products, the user acknowledges and accepts full responsibility for ensuring safe operating conditions, proper contingency planning, and compliance with applicable laws and safety standards.

- ENVO products must not be used in extreme or abnormal working conditions, such as stunts, racing, extreme sports or in any circumstances where product malfunction, performance limitations, or loss of functionality could reasonably be expected to create a risk of injury, death, or severe harm. This includes, without limitation:

  • Use in emergency, rescue, or medical applications;

  • Use in wilderness, remote, or hazardous environments where the ability to return to safety depends solely on the vehicle’s functionality (e.g., relying exclusively on stated battery range to reach a safe location);

  • Use as a primary means of evacuation or transport in life-critical situations;

  • Use in military, aviation, or other high-risk operational settings.

  • Use in extreme competitions, racing or sport events

Users are required to maintain an independent, reliable backup plan to ensure return to safety in all cases. Failure to do so may result in serious injury or death, for which ENVO and its affiliates shall bear no responsibility or liability.

 

9. Software, firmware, and updates

- Products may include software or firmware licensed to you, not sold. We may provide updates for safety or performance. Do not modify firmware or operating parameters without ENVO’s written approval.

10. Modifications and non‑ENVO parts

- Unauthorized modifications, tuning, or use of incompatible components can cause damage and safety risks and may void warranty coverage.

11. Safety notices and recalls

- We may contact you via email/SMS/post about safety notices, recalls, or service actions. You agree to receive these communications and to follow the instructions provided.

12. Limited Warranty

- ENVO’s Limited Warranty is incorporated by reference and available below. Statutory rights are preserved.

13. Export controls and sanctions

- You agree to comply with applicable export, re‑export, and sanctions laws of Canada, the US, the EU, and other relevant jurisdictions. You will not export or resell products to prohibited destinations or parties.

14. Independent dealers

- Authorized dealers are independent businesses and are not ENVO’s agents. Dealers cannot make binding warranties, promises, or representations on ENVO’s behalf. Any services or commitments by dealers are their own responsibility.

15. Limitation of liability (product sales)

- To the maximum extent permitted by law, ENVO is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, business, or data, arising from your purchase or use of products.

- To the extent permitted by law, ENVO’s aggregate liability for direct damages will not exceed the price you paid for the product giving rise to the claim.

 

16. Dispute resolution, small claims, and arbitration

 

- Where permitted by law, disputes will be resolved by binding arbitration administered by the Vancouver International Arbitration Centre (VanIAC) under its rules, seat in Vancouver, BC, language English, one arbitrator. Either party may bring an individual claim in small claims court where available.

17. Governing law

- These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws.

 

18. Force majeure

- Neither party is liable for delay or failure due to events beyond its reasonable control (for example, acts of God, epidemics, supply chain disruptions, strikes, wars, government actions).

20. Final Sale Items

- Certain items may be designated as Final Sale at the time of purchase, including but not limited to spare parts, conversion kits, etc.

- Final Sale items cannot be returned for refund or exchange under any circumstances.

- Final Sale items are not supported with replacement parts.

- ENVO’s standard Limited Warranty still applies to Final Sale items, unless expressly excluded in the warranty terms.

- In accordance with section 39 of the Québec Consumer Protection Act, ENVO releases itself from the obligation to supply replacement parts, repair services, or related information for final sale (discontinued) products. This includes, but is not limited to, conversion kits, legacy products and legacy batteries.


Terms of Use

1. Who we are and what these Terms cover

- These Terms of Use govern your access to and use of ENVO Drive Systems Inc.’s websites and mobile applications and the content and services made available through them (the “Site”).

- “ENVO,” “we,” or “us” means ENVO Drive Systems Inc., a British Columbia corporation, and its affiliates.

- “You” means the person or entity accessing or using the Site.

- Sales of ENVO products and services are governed by separate Terms of Sale and our Limited Warranty. If you purchase from ENVO, those documents, not these Terms of Use, govern your purchase.

2. Acceptance of Terms

- By accessing or using the Site, you agree to these Terms.

- If you are using the Site on behalf of a company or organization, you represent that you are authorized to bind that entity, and “you” includes that entity.

- If you do not agree, do not use the Site.

3. Eligibility and minors

- You must be at least the age of legal majority where you live or 16 years old, whichever is higher.

- The Site is not directed to children under 13. We do not knowingly collect personal information from children under 13. If you believe a child has provided data, contact us at https://envodrive.com/pages/contact

4. Accounts

- Some features require a user account. You agree to provide accurate information and keep it current.

- You are responsible for all activities under your account and for maintaining the confidentiality of your credentials.

- Notify ENVO immediately of any unauthorized use of your account.

5. Permitted use and license

- ENVO grants you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Site for your personal or internal business purposes.

- You may not copy, reproduce, modify, distribute, publicly display, mirror, or create derivative works from the Site or any content except as expressly permitted by these Terms or with ENVO’s prior written permission.

6. Acceptable use (what you cannot do)

You agree not to:

- Access or use the Site in any unlawful manner or for any unlawful purpose.

- Interfere with or disrupt the Site’s security, integrity, or performance; probe, scan, or test vulnerabilities; or bypass access controls.

- Use any scraping, crawling, data mining, bots, or similar tools without our prior written consent.

- Reverse engineer, decompile, or disassemble any software used to provide the Site (except where such restrictions are prohibited by law).

- Upload malware, spam, or content that is fraudulent, defamatory, obscene, hateful, harassing, or infringes another’s rights.

- Frame, mirror, or otherwise incorporate any part of the Site into any other website without our prior written consent.

- Use the Site to benchmark or build a competitive product or service.

7. Intellectual property

- The Site and all content, text, graphics, images, video, logos, trademarks, and software are owned by ENVO or its licensors and protected by intellectual property laws.

- No rights are granted except as expressly stated. All other rights are reserved.

8. User content and feedback

- You may submit content such as reviews, photos, comments, or questions (“User Content”).

- You represent you have all rights necessary to submit User Content and that it does not violate any law or third‑party rights. If individuals are identifiable, you have their consent.

- License for User Content: You grant ENVO a worldwide, non‑exclusive, royalty‑free, transferable, sublicensable license to host, reproduce, display, distribute, and otherwise use your User Content for operating, improving, and promoting the Site and ENVO’s products and services. You may request removal of User Content from future use by contacting us at https://envodrive.com/pages/contact ; this does not affect uses already made.

- Feedback: If you submit ideas, suggestions, or feedback, ENVO may use them without restriction or compensation. Where permitted by law, you waive moral rights in Feedback.

9. Privacy and cookies

- Your use of the Site is subject to the ENVO Privacy Policy, which describe how we collect, use, disclose, and protect your information and your choices.

- We may use third‑party payment processors and analytics providers. ENVO does not store full payment card numbers.

10. Third‑party links and services

- The Site may link to third‑party websites or services. ENVO is not responsible for third‑party sites or services and does not endorse them. Your use of third‑party services is subject to their terms and privacy policies.

11. Availability; changes; updates

- The Site may be changed, updated, suspended, or discontinued at any time without notice.

- We may release updates that you must install to continue using certain features. We are not obligated to provide support.

12. Security and vulnerability disclosure

- If you discover a security issue, please report it to https://envodrive.com/pages/contact Do not publicly disclose issues before we have had a reasonable opportunity to address them.

13. DMCA, Notice-and-Notice, and EU DSA notices

- If you believe content on the Site infringes your copyright, send a notice to ENVO’s DMCA agent:

- Canada Notice‑and‑Notice: For alleged infringement on the Site, send notices to the above contact.

- EU users: If the Site hosts user content accessible in the EU, you may submit a notice of illegal content to https://envodrive.com/pages/contact. We will process notices consistent with applicable law.

- Repeat infringers’ accounts may be terminated.

14. Disclaimers for the Site

- To the maximum extent permitted by law, the Site is provided “as is,” “as available,” and “with all faults.” ENVO disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non‑infringement.

- ENVO does not warrant that the Site will be uninterrupted, secure, or error‑free, or that content will be accurate or complete.

15. Limitation of liability for the Site (Site‑only)

- To the maximum extent permitted by law, ENVO’s total aggregate liability arising out of or related to your use of the Site will not exceed CAD $100.

- ENVO will not be liable for any indirect, consequential, incidental, special, punitive, or exemplary damages.

- These limitations do not limit liability that cannot be limited by law, such as for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.

- This Section applies only to your use of the Site. Product purchases are governed by the Terms of Sale and Limited Warranty and by non‑excludable consumer laws.

16. Indemnification

- To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless ENVO and its affiliates from third‑party claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:

a) your User Content;

b) your violation of these Terms; or

c) your violation of another party’s rights or applicable law.

17. Termination

- We may suspend or terminate your access to the Site at any time, with or without notice, for any reason. Upon termination, your license to use the Site ends.

18. Dispute resolution, arbitration, and small claims

- If you are a consumer and your local consumer protection laws prohibit mandatory arbitration or restrict forum selection, this Section does not prevent you from bringing claims in the courts of your home jurisdiction.

- Where permitted by law, any dispute arising out of or relating to these Terms or the Site will be referred to and finally resolved by binding arbitration administered by the Vancouver International Arbitration Centre (VanIAC) under its applicable rules. The seat of arbitration is Vancouver, British Columbia, Canada. The language is English. A single arbitrator will be appointed.

- Either party may bring an individual claim in small claims court where available.

- You may opt out of arbitration within 30 days after first accepting these Terms by contacting https://envodrive.com/pages/contact with your name and the email used for your account.

- This Section does not apply to Quebec consumers.

19. Governing law and venue

- These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws.

20. General terms

- Force majeure: Neither party is liable for delays or failures due to events beyond its reasonable control.

- Assignment: ENVO may assign these Terms. You may not assign them without ENVO’s prior written consent.

- Severability: If any provision is unenforceable, the rest remain in effect and will be modified to the minimum extent necessary to be enforceable.

- Waiver: A failure to enforce a provision is not a waiver.

- Entire agreement: These Terms are the entire agreement regarding your Site use.

- Governing language: The English version controls. For Quebec consumers, a French version will be made available upon request.

Limited Warranty

1. Summary

- ENVO warrants to the original purchaser that eligible ENVO products will be free from defects in materials and workmanship under normal use during the applicable warranty periods set out in this Limited Warranty and the Warranty Schedule.

2. Who is covered

- This warranty applies only to the original purchaser who bought the product new from ENVO or an authorized ENVO dealer. It is not transferable unless required by law.

3. Warranty periods

- The warranty period begins on the date of delivery to the original purchaser.

- Warranty periods vary by component and product line and are specified as below, or on the applicable product page or invoice. If a conflict exists, the longer stated period applies.

- Frame/Chassis and body parts: 12 months

- Fork/Suspension: 12 months

- Motor: 12 months

- Controller boards: 12 months

- Display/controls: 12 months

- Battery pack: 12 months or [300 cycles], whichever occurs first; warranty capacity threshold [80% at 12 months]

- Charger: 12 months

- Sensors and Harness: 12 months

- Consumables (tires, tubes, brake pads, rotors, chains, cassettes, spokes, grips, saddles, cables, bearings): no warranty beyond DOA for manufacturing defects

- Accessories (lights, racks, fenders, kickstands): 12 months

- Paint/finish: no warranty beyond DOA

4. What we will do

At our option, ENVO will:

- Repair the defective product or component with new or refurbished parts;

- Replace it with the same or reasonably equivalent model; or

- Provide store credit or a refund, taking into account usage.

- Replacement parts may be new, refurbished, or functionally equivalent. Replaced parts become ENVO’s property.

5. How to obtain warranty service

- Contact your authorized ENVO dealer or ENVO Support at https://envodrive.com/pages/contact to obtain a Return Merchandise Authorization (RMA).

- Provide:

- Proof of purchase;

- Product and/or battery serial number;

- Description of the issue and supporting photos/videos; and

- Your contact details and shipping address.

- We may require remote diagnostics, proof of safe battery handling, or an inspection by an authorized service center.

6. Shipping, labor, and costs

- You are responsible for properly packaging products for shipment and for complying with hazardous materials laws when shipping batteries.

- Unless prohibited by law or stated otherwise in the Warranty Schedule:

- ENVO covers standard outbound shipping for approved replacements within [6] months of delivery; otherwise, shipping is your responsibility.

- Labor for diagnosis, removal, or installation is not covered, except when performed by an authorized ENVO dealer with prior written approval.

- ENVO is not responsible for loss or damage during transit to ENVO or a service center.

7. Exclusions (what is not covered)

- Normal wear and tear and consumables (e.g., tires, tubes, brake pads/rotors, chains, cassettes, spokes, grips, saddles, bearings, cables).

- Cosmetic damage (e.g., scratches, dents, paint chips) that does not affect function.

- Damage from accident, collision, abuse, neglect, improper storage, exposure to extreme temperatures, water ingress beyond the product’s stated rating, or improper cleaning.

- Damage from improper assembly, installation, or maintenance; failure to follow the user manual or torque specifications; or lack of regular service.

- Damage caused by unauthorized modifications, firmware/parameter changes, tuning, or the use of incompatible or non‑ENVO parts or accessories.

- Electrical damage caused by third‑party chargers, incorrect chargers, power surges, or improper wiring.

- Batteries: damage due to improper charging, storage below recommended state of charge, deep discharge, use beyond cycle life, or use of non‑approved chargers. Expected capacity loss over time is normal and not a defect unless below the stated threshold in the Warranty Schedule during the warranty period.

- Commercial, rental, or fleet use unless covered by a separate written commercial warranty.

- Products with removed/altered serial numbers or evidence of tampering or odometer manipulation.

- Loss, theft, or damage not due to a manufacturing defect.

8. Customer responsibilities

- Read and follow the user manual and safety instructions.

- Perform regular inspections and maintenance or have them performed by qualified technicians.

- Use only ENVO‑approved parts and chargers.

- For batteries: follow storage and charging guidelines, including storage temperature, state of charge, and transport restrictions.

9. Limitations and legal rights

- To the extent permitted by law, all implied warranties (including merchantability and fitness for a particular purpose) are limited to the duration of this Limited Warranty.

10. Limitation of liability

- To the maximum extent permitted by law, ENVO is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, business, or data.

- To the extent permitted by law, ENVO’s total liability for direct damages under this Limited Warranty will not exceed the purchase price of the product.

 

11. Territorial scope

- This warranty applies worldwide where ENVO or its authorized partners provide service. Service options and timelines may vary by region.

12. Governing law

- This Limited Warranty is governed by the laws of British Columbia and the federal laws of Canada applicable therein.

14. Demo & Pre-Owned Products

- Demo and pre-owned bikes are sold as-is, and all sales are final — no returns or refunds will be accepted.

- Demo models: Typically under 100 km mileage; may have minor wear; include a limited 3-month warranty.

- Pre-owned bikes: May show more use (over 100 km), cosmetic wear, or missing accessories; no warranty or return applies.

- However, customers may purchase a 1-year extended warranty for $99 within 10 days of a pre-owned bike purchase:


 

Early Access and R&D Products Addendum

This Addendum applies to ENVO early access, pilot, or R&D products, including without limitation Veemo, UPT, eATV, Snowbikes and SnowKart (each an “Early Access Product”). It supplements and forms part of the Terms of Sale and Limited Warranty. If there is a conflict, this Addendum controls for Early Access Products.

1. Separate acceptance

- You must affirmatively accept this Addendum at purchase or activation. If you do not agree, do not purchase or use an Early Access Product.

2. Nature of Early Access Products

- Early Access Products may be pre‑commercial or newly released and could contain defects, require more frequent maintenance, or receive frequent updates. Real‑world use may reveal unforeseen issues.

- ENVO may push safety or performance updates and may advise you to stop using a product until an update or inspection is completed.

3. Operator and assembler requirements

- Operator must meet minimum age and licensing requirements in their jurisdiction and be competent to operate the product safely for the intended terrain.

- Buyers, assemblers, and operators should be mechanically inclined. If you assemble the product, you must follow the user manual and torque specifications and perform a full pre‑ride inspection (brakes, steering, wheels/fasteners, drive-train, suspensions, etc.).

- Professional assembly and pre‑delivery inspection by an authorized ENVO dealer is strongly recommended where applicable.

- Use the product only as intended and in accordance with the user manual, including terrain and payload limits.

- ENVO products must not be used in extreme or abnormal working conditions, or in any circumstances where product malfunction, performance limitations, or loss of functionality could reasonably be expected to create a risk of injury, death, or severe harm. This includes, without limitation:

  • Use in emergency, rescue, or medical applications;

- You are responsible for complying with all laws and regulations (e.g., e‑bike classes, speed/power limits, helmet and PPE requirements, lighting, road/trail access).

5. Personal protective equipment (PPE)

- Always wear a helmet meeting applicable standards and other appropriate PPE (e.g., gloves, protective clothing, eye protection). Additional PPE may be required for off‑road or winter use.

6. Maintenance, inspection, and incident reporting

- Inspect critical components before each ride and perform scheduled maintenance as specified in the manual.

- Do not use the product if you detect damage, unusual noises, loose fasteners, reduced braking performance, or other safety concerns.

- Report safety incidents or suspected defects to ENVO within 48 hours at https://envodrive.com/pages/contact with details, photos, and serial numbers. Preserve parts for inspection.

7. Batteries and charging

- Only use ENVO‑approved chargers. Follow charging and storage instructions, including storage temperature and state of charge.

- Follow all hazardous materials rules for shipping or transporting batteries. Do not ship damaged or swollen batteries without ENVO’s written instructions.

8. Software, telemetry, and updates

- Early Access Products may collect diagnostic and usage data to improve safety and performance. By using the product, you consent to this data collection and to receiving safety‑critical updates.

- ENVO may, where necessary for safety, temporarily disable certain functions until an update or inspection is completed.

9. Prohibited modifications

- Do not modify firmware, speed/power parameters, or safety systems without ENVO’s written approval. Do not install incompatible parts or accessories.

10. Assumption of risk and reasonable limits on liability

- You acknowledge that operating Early Access Products on varied terrain carries inherent risks of injury and property damage. You assume those inherent risks that cannot be eliminated by the exercise of reasonable care.

- To the maximum extent permitted by law, ENVO is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from the use of Early Access Products.

- To the maximum extent permitted by law, ENVO’s total aggregate liability for direct damages related to an Early Access Product will not exceed the purchase price you paid for that product.

 

11. Warranty for Early Access Products

- Early Access Products are covered by ENVO’s Limited Warranty, subject to the exclusions and maintenance obligations in that warranty and this Addendum.

- Commercial, rental, or fleet use coverage applies only if set out in a separate written agreement.

12. Indemnification for misuse

- To the maximum extent permitted by law, you agree to indemnify ENVO against third‑party claims arising from your unlawful use, prohibited modifications, or operation while knowingly ignoring safety instructions or recall notices.

13. Recalls and safety bulletins

- You agree to promptly comply with any recall or safety bulletin, including returning the product or ceasing use until repairs or updates are completed.

14. Dispute resolution, governing law, and consumer rights

- Dispute resolution and governing law are as stated in the Terms of Sale, with the same consumer carve‑outs and small‑claims options.
